Please read these Terms carefully before using our Services. By accessing or using Leady, you agree to be bound by these Terms.
Acceptance of Terms
Agreement
By accessing or using Leady's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
Updates
We may modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms. We will notify customers of material changes via email.
Age Requirement
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organization to use our Services.
Service Description
AI Voice Agents
Leady provides AI-powered voice agents that answer inbound calls, make outbound calls, schedule appointments, and manage patient communications for dental practices.
PMS Integration
Our Services integrate with leading dental Practice Management Systems ("PMS") including Open Dental, Dentrix, Eaglesoft, and 45+ others. Integration availability may vary.
Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance and occasional outages may occur.
Beta Features
We may offer beta or preview features. These are provided "as-is" and may change or be discontinued without notice.
User Obligations
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of unauthorized access.
Accurate Information
You must provide accurate, current, and complete information when registering for our Services. Update your information as it changes.
Compliance
You agree to use our Services in compliance with all applicable laws, regulations, and industry standards, including HIPAA, state dental board regulations, and telemarketing laws (TCPA).
Prohibited Uses
You may not use our Services for: fraudulent activities, harassment, spam, transmitting malware, violating any law, or infringing on third-party rights.
Patient Consent
You are responsible for obtaining all required patient consents for call recording, automated calls, and PHI disclosure in accordance with federal and state laws.
Payment Terms
Fees
Our pricing is available at leady.ai/pricing. Base License is $499/month per clinic. Annual Advantage is $4,990/year including 1,200 bonus minutes. Attack Credits are sold in yearly tiers.
Billing Cycle
Monthly plans are billed monthly. Annual plans are billed upfront. Attack Credits are pre-paid annually.
Usage Overage
Minutes exceeding your plan allowance are billed at $0.08/minute for outbound calls and $0.05/minute for inbound calls.
Payment Methods
We accept major credit cards through Stripe. Payment is due at the start of each billing cycle.
Refunds
We do not offer prorated refunds for partial months. Annual plans may be cancelled with 30 days notice, but no refund will be issued for the unused portion.
Taxes
All fees exclude applicable taxes. You are responsible for all sales, use, and other taxes based on your location.
Termination
Termination by You
You may cancel your subscription at any time through your account dashboard or by contacting support. Cancellations take effect at the end of the current billing cycle.
Termination by Us
We may suspend or terminate your access for: breach of these Terms, non-payment, fraudulent activity, or if we discontinue the Services.
Effect of Termination
Upon termination, your right to use the Services ceases. We will delete your data within 90 days, except as required by law or for legitimate business purposes.
Survival
Sections entitled "Payment Terms," "Limitation of Liability," "Indemnification," and "Governing Law" survive termination.
Limitation of Liability
Disclaimer
THE SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
AI Accuracy
While our AI agents are highly trained, they may occasionally make errors. You are responsible for reviewing and verifying all appointments and actions taken by AI agents.
Call Failures
We are not liable for missed calls, connection failures, or other telecommunications issues caused by third-party providers or factors outside our control.
Cap on Liability
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR LOST PROFITS, DATA LOSS, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Governing Law & Dispute Resolution
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Dispute Resolution
Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.
Class Actions
YOU WAIVE ALL RIGHTS TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.
